This is a community sponsored NFT project developed in good will to further the shared vision of NFTs and open and visually immersive digital universe. The Lost Paradigms art is made up of unique 3D traits designed by the ARTISTS, Visual_Swim and Gabriel Cohelo, in conjunction with other third party content providers detailed herein. These Terms and Conditions can change and be updated.

Lost Paradigms Terms and Conditions

Please read these Terms and Conditions (“T&Cs”) carefully, as they form a contract between you and Lost Paradigms. LLC. (“Lost Paradigms”). By participating and purchasing in the Lost Paradigms NFT Project, you agree to the T&Cs. If you do not agree, please do not participate or purchase.

Definitions

The following terms as used in these Terms shall have the meanings ascribed to them in the following items.

(1) “Services” means any and all Lost Paradigms services provided by the LLP on the Site or via any repositories and drives created and maintained by the LLP.

(2) "Site" means the website (https://lostparadigms.xyz/) provided by the LLP for the Services.

(3) “User" means any individual or legal entity that is a user of the Services.

(4) "NFT" (Non-Fungible Token) means a Token issued on the ethereum blockchain that has no substitutability, with the Token itself having unique values and attributes.

(5) “NFT Art" means any image, illustration, sound, video, 3D model, 3D asset, photographic asset, or any other digital data tied to a particular NFT.

(6) “User-owned NFT" means NFT owned by a user and used on the Service.

(7) “Materials Lost Paradigms" means any and all NFT art tied to User-owned NFTs. This is inclusive of art produced by "Visual_Swim" and “Gabriel Coehlo” (artists’ names), as well as assets, arts, images and brands created and belonging to “Cyberbrokers”, “Kitbash3d”, “Kanshankar”, “Felix Inden” or other third party content providers yet to be named.

(8) “Lost Paradigms" means the generative art project created by "Visual_Swim" and “Gabriel Coehlo” (artists’ names) whose name also includes "Lost Paradigms" and illustrations, images, videos, 3D models, 3d assets and other materials expressing these artistic renderings, which include licensed content from third parties’ such as: “Cyberbrokers”, “Kitbash3d”, “Felix Inden and “Kanshankar”.

(9) “Lost Paradigms NFTs" means NFTs issued by the Company for use on the Services that are tied to Material Lost Paradigms, and NFTs tied to UGC created by using the Services. Should the user edit the Lost Paradigms NFTs or Lost Paradigms Materials by combining Lost Paradigms NFTs with other NFTs on the Services, the identity of the Lost Paradigms NFT as an NFT will not be lost before or after such editing.

(10) “Material Lost Paradigms" means digital data consisting of a combination of a 3D model of Lost Paradigms and all related visual assets (including images and videos).

(11) “UGC" (User Generated Content) means digital data created by the User by combining the Material Lost Paradigms with other digital data either on the Service or with other third-party services, like through the Cyberbrokers community fund or any other means.

(12) " Material Lost Paradigms, etc." means the generic term for Material Lost Paradigms and UGC.

(13) "Terms" means the Lost Paradigms Terms of Use, individual terms, etc., all of which shall be deemed to constitute these Terms.

(14) “Individual Terms etc.” means individual terms and rules etc. relating to the Services. In providing the Services, the LLP may prepare Individual Terms etc. as necessary, and will publish Individual Terms etc. so prepared on the Services in the manner designated by the LLP or notify Users of them.

(15) “User Content" means all User-owned NFT, Material Lost Paradigms, UGC, and any other information posted by Users on the Services.

Application of Terms

The purpose of these Terms is to establish the terms of service, the rights and duties between the LLP and Users, the rights and duties between Users and Lost Paradigms NFT Holders relating to the use of the Services, and these Terms apply to all relationships regarding the use of the Service or the use of Lost Paradigms NFT.

By using the Services, or by holding or in any way using a Lost Paradigms NFT, Users and Lost Paradigms NFT Holders will be deemed to have given valid and irrevocable consent to these Terms. Users and Lost Paradigms NFT Holders are asked to stop using the Services if they do not consent to the foregoing.

The LLP may, at its discretion, create Individual Terms etc. for the Services. These Individual Terms etc. shall be posted on the Services and shall be applied as part of these Terms. In cases where the content of these Terms differs from any Individual Terms etc., the Individual Terms etc. shall prevail.

Even if some of the provisions of these Terms are determined to be invalid under laws or regulations, the other provisions of these Terms and other terms of service etc. shall remain in effect. Further, in cases where some or all of the provisions of these Terms or other terms of service etc. are invalidated or rescinded in respect of some Users, these Terms and such other terms of service etc. shall remain in effect in respect of all other Users.

In cases where a User is a person with limited capacity such as a minor and an adult ward etc., such User will only be entitled to use the Services with the consent of a parent or legal guardian. In cases where a person with limited capacity, as a User, has used the Services by forging the consent of a legal guardian or pretending to be of legal age, the juristic acts of such User cannot be rescinded.

The consent to these Terms must be undertaken by the individual who will become the User, or, in the case of corporations, the corporation’s representative or a director/employee to whom the corporation has granted valid authority to conclude contracts relating to the use of the Services. The consent procedures cannot be completed by any entities other than these natural persons.

Personal Data

While using the Service, the LLC may ask Users to provide certain personally identifiable information that can be used to contact or identify Users. Personally identifiable information may include, but is not limited to:

Usage Data
Ethereum Address

You consent to the LLP collecting, using and disclosing all personal data that you submit to the LLC, Lost Paradigms in the course of participating in and purchasing any Lost Paradigms NFT, Materials or Services and agree to the LLC’s privacy policy and these T&Cs for the purpose of administering and publicising this project.

IP Ownership

Copyrights (including the rights stipulated in Article 27 and Article 28 of the Copyright Act; hereinafter the same), patent rights, trademark rights, and all other Intellectual Property Rights (including the right to acquire or apply for registration of these rights and rights added by future revision of laws and regulations; collectively, “Intellectual Property Rights”) relating to the Services and any text, audio, music, images, 3D models, video, software, programs, code and any other information provided on the Services (hereinafter, collectively, “Content” and “Services”) all belong to the LLP or duly authorised third parties that have granted licences to the LLC. Furthermore, any End User Licensing Agreements connected to those third party materials and assets remain in full effect for the purposes of these agreements.

Other Terms and Conditions

To the fullest extent permitted by applicable law, Lost Paradigms excludes all liability for any loss, damage, costs, expenses and/or liabilities of any kind caused by, relating to, or resulting from any Services or purchases relating to Lost Paradigms, and your participation therein. These Services and NFTs are not a financial instrument of any kind nor are they intended to be viewed as such. You agree to waive to the fullest extent permitted by applicable law any and all claims of liability against Lost Paradigms and its affiliates, officers, directors, employees and agents, for any and all claims, loss, costs, expenses, damage or injury which may occur as a result of or in relation to your participation in the Lost Paradigms Materials, art or Services.
